1. Scope
These General Terms and Conditions apply to all services provided by Demircan Core Operations, trading as DEMCO.ai, to clients, commissioning parties, companies, organizations, and other contracting parties.
The services include, in particular, Consulting, business consulting, people strategy, Recruiting Advisory, organizational diagnostics, assessments, surveys, Events, workshops, Digital Transformation, process optimization, data analysis, project support, and related services.
Any differing provisions in proposals, order confirmations, contracts, or individual written agreements take precedence over these Terms and Conditions.

3. Formation of Contract
Proposals from Demircan Core Operations are non-binding unless expressly designated as binding.
A contract is formed by written acceptance of a proposal, signature of a contract, confirmation by email, booking of a service, placement of an order, or actual use of a service.
Booking a free initial consultation does not in itself create any entitlement to enter into a paid engagement.
4. Free Initial Consultations
Free initial consultations provide initial guidance, clarify needs, and assess the potential for working together.
A free initial consultation does not constitute conclusive advice, a binding recommendation, an offer, or an assurance of specific results.
Booked initial consultations should be canceled or rescheduled in good time if attendance is not possible. In the event of repeated non-attendance, Demircan Core Operations may decline further free appointments.
5. Scope of Services
The specific scope of services is determined by the relevant proposal, order confirmation, service description, or individual agreement.
Demircan Core Operations provides services with due care, professionally, and to the best of its knowledge. Unless expressly agreed otherwise, the obligation is to provide a service, not to achieve a particular business, staffing, organizational, assessment-related, financial, or other outcome.
Analyses, evaluations, recommendations, role profiles, interview guides, scorecards, communication standards, metrics, organizational assessment results, roadmaps, concepts, and project documents serve as a basis for decisions and work.
The client retains final responsibility for business, staffing, organizational, technical, and other decisions.
6. Client Cooperation Obligations
The client must provide all information, documents, access, contacts, decisions, and feedback required to deliver the services in a timely, complete, and truthful manner.
The client is responsible for ensuring that the information, data, documents, personal data, operational information, and application, candidate, interview, scorecard, or organizational assessment data it provides may lawfully be transferred and used.
Delays, additional work, or limitations on services resulting from absent, late, incorrect, or incomplete cooperation may be charged to the client in addition.
7. Fees, Prices, and Payment Terms
Fees, flat rates, daily rates, fixed project fees, retainers, expenses, third-party costs, and additional costs are governed by the relevant proposal or individual agreement.
Unless otherwise agreed, prices are quoted in Swiss francs (CHF) and exclude statutory charges, taxes, expenses, and travel, accommodation, material, or third-party costs.
Unless otherwise agreed, invoices are payable without deduction within 14 days of the invoice date.
In the event of late payment, Demircan Core Operations may withhold services, postpone appointments, suspend further work, and claim late-payment interest and reasonable reminder and collection costs.
8. Expenses and Third-Party Costs
Expenses, travel time, and costs for travel, accommodation, meals, venues, technical equipment, licenses, tools, organizational assessments, platforms, events, or other third-party services are charged separately unless expressly included in a flat fee.
Where possible, the client will be informed of significant third-party costs in advance, or such costs will be coordinated with the client.
9. Appointments, Rescheduling, and Cancellations
Both parties must exercise reasonable care in keeping agreed appointments.
Free initial consultations can generally be rescheduled or canceled free of charge up to 24 hours before the appointment.
Individually agreed cancellation terms apply to paid consultations, workshops, events, assessments, or project appointments.
In the absence of an individual agreement, the following applies:
- Cancellation or rescheduling more than 14 calendar days before the appointment: no service fees, but reimbursement of any third-party or preparation costs already incurred.
- Cancellation or rescheduling 7 to 14 calendar days before the appointment: 50 percent of the agreed fee plus any third-party or preparation costs incurred.
- Cancellation, rescheduling, or non-attendance less than 7 calendar days before the appointment: 100 percent of the agreed fee plus any third-party or preparation costs incurred.
The client retains the right to demonstrate that no loss, or a lower loss, was incurred.
10. Consulting and Digital Transformation
Consulting and transformation services may include analyses, concepts, workshops, process design, role clarification, roadmaps, KPI frameworks, organizational development, HR and recruiting process optimization, digital workflows, tool evaluations, and implementation support.
Demircan Core Operations does not guarantee that specific business, organizational, staffing, or technical outcomes will be achieved. Success depends in particular on the client's decisions, implementation, resources, data quality, cooperation, and operating conditions.
11. Recruiting Advisory
Recruiting Advisory means helping companies establish professional recruiting processes and develop them with clear purpose.
Recruiting Advisory services may include, in particular:
- Clarifying the impact of a position within the company
- Clarifying roles
- Developing role and requirements profiles
- Defining relevant competencies
- Developing interview guides
- Developing scorecards
- Developing communication standards
- Developing relevant hiring and recruiting metrics
- Structuring selection and decision-making processes
- Improving the candidate experience
- Enabling internal hiring teams
- Workshops, training, and strategic dialogue for HR, hiring managers, and leaders
Recruiting Advisory aims to enable internal hiring teams to make faster, more confident, and better-informed decisions, with greater clarity, higher quality, and a better candidate experience.
As part of Recruiting Advisory, Demircan Core Operations is not obliged to fill a position, secure the hiring of a particular person, secure an applicant's or candidate's acceptance of an offer, or ensure any particular duration of a subsequent employment relationship, unless expressly agreed in writing.
Recruiting Advisory is not traditional personnel placement, active candidate sourcing, direct candidate outreach, or temporary staffing, unless expressly agreed separately in writing.
The client makes final selection, hiring, contractual, and compensation decisions on its own responsibility.
Where DEMCO.ai receives access to application, candidate, interview, scorecard, or feedback data as part of a Recruiting Advisory engagement, such data must be treated confidentially and may only be used for the agreed purpose.
12. Organizational Diagnostics, Assessments, and Surveys
Organizational diagnostics, assessment, survey, and feedback services support structured reflection, development, evaluation of potential, and team or organizational analysis.
Organizational assessment results do not constitute a medical, psychotherapeutic, clinical, or conclusive employment-law evaluation. They must not be considered in isolation, but only in conjunction with other relevant information.
The client is responsible for ensuring that the individuals concerned are adequately informed and that the necessary consents, legal bases, or internal approvals are in place.
Demircan Core Operations does not make decisions about individuals based solely on automated processing. Digital tools may support the analysis; interpretation and final decisions remain a human responsibility.
13. Events, Workshops, and Offsites
For events, workshops, offsites, and similar formats, the proceedings, content, results, and impact depend substantially on the number of participants, cooperation, preparation, group dynamics, operating conditions, and the client's decisions.
Demircan Core Operations may engage third parties such as venues, technical service providers, facilitators, organizational assessment partners, or other service providers where this is appropriate or necessary for delivery.
The client is responsible for participant information, internal approvals, occupational safety, rules of conduct, and, where relevant, consent to photo, video, or audio recordings.
14. Use of Digital Tools and Artificial Intelligence
Demircan Core Operations may use digital tools and artificial intelligence to produce research, analyses, structured materials, documents, processes, presentations, concepts, or decision-making materials more efficiently.
Confidential client data, application, candidate, interview, scorecard, or organizational assessment data, and sensitive personal data will not be entered into external AI systems without an appropriate basis, a security review, and contractual safeguards.
Before an engagement begins, the client may request in writing that certain categories of data not be processed in external AI or cloud systems.
AI-assisted results are reviewed for subject-matter accuracy. Digital or AI-assisted work products cannot be guaranteed to be entirely free of errors.
15. Confidentiality
Both parties must keep the other party's confidential information confidential and use it only for the agreed purpose.
Confidential information includes, in particular, trade secrets, strategies, client data, application, candidate, interview, scorecard, and organizational assessment data, compensation information, internal documents, concepts, proposals, methods, analyses, and information that is not publicly known.
The duty of confidentiality does not apply to information that is publicly known, was lawfully received from third parties, was independently developed, or must be disclosed to comply with legal obligations.
16. Data Protection
Demircan Core Operations processes personal data in accordance with the Privacy Policy at www.demco.ai and applicable data protection law.
The client remains responsible for the lawfulness of the personal data it provides, particularly employee, application, candidate, interview, scorecard, organizational diagnostics, assessment, or survey data.
Where necessary, the parties will enter into separate data protection, data processing, or confidentiality agreements.
17. Work Products, Usage Rights, and Intellectual Property
Concepts, methods, frameworks, templates, presentations, texts, analyses, designs, structures, organizational assessment frameworks, tools, and other work products of Demircan Core Operations are protected by copyright or other legal rights.
Following full payment, and unless otherwise agreed, the client receives a non-exclusive, non-transferable right to use the work products specifically created for it for internal business purposes.
Demircan Core Operations retains all rights to pre-existing methods, templates, know-how, frameworks, tools, working practices, concept components, and general insights.
Distribution, publication, modification, commercial use, or use for third parties is permitted only with prior written consent unless expressly included in the contract.
18. References and Publications
Demircan Core Operations may use the client's names, logos, project content, testimonials, case studies, or results only with the client's express consent or under a corresponding agreement.
Anonymized or generally described insights from experience may be used provided they do not allow conclusions to be drawn about confidential information or identifiable individuals.
19. Warranty
Demircan Core Operations provides services with due care and professionalism. The client must review work products promptly upon receipt and report any apparent defects, ambiguities, or requested corrections within a reasonable period.
If a work product is defective and Demircan Core Operations is responsible, the initial remedy is appropriate rectification.
Further warranty rights exist only to the extent required by mandatory law or individually agreed.
20. Liability
Demircan Core Operations is liable for damage caused by intentional or grossly negligent conduct in accordance with statutory provisions.
To the extent permitted by law, Demircan Core Operations is liable for slight negligence only for direct and foreseeable damage, up to the amount of the fees paid for the engagement concerned, but in any event no more than CHF 50'000.
To the extent permitted by law, liability is excluded for indirect damage, consequential damage, lost profits, unrealized savings, data loss, reputational damage, failure to conclude contracts, unmet recruiting objectives, unsuccessful recruiting processes, unsuccessful hires, or other indirect losses.
Mandatory statutory liability, particularly for unlawful intent, gross negligence, or personal injury, remains unaffected.
21. No Legal, Tax, Financial, or Medical Advice
The services of Demircan Core Operations do not constitute legal, tax, financial, insurance, medical, psychotherapeutic, or clinical advice unless expressly agreed in writing and the relevant qualifications are held.
An appropriate specialist must be consulted on legal, tax, financial, medical, or employment-law matters.
22. Force Majeure
Demircan Core Operations is not liable for delays or failure to perform due to circumstances beyond its reasonable control. These include, in particular, natural events, illness, accidents, technical failures, power or internet outages, cyberattacks, government measures, strikes, pandemics, or third-party provider failures.
In such cases, the parties will seek in good faith an appropriate adjustment to appointments, deadlines, or services.
23. Engagement of Third Parties
Demircan Core Operations may engage suitable employees, partners, subcontractors, experts, organizational assessment providers, IT, event, design, legal, accounting and fiduciary service providers, or other service providers to deliver its services.
Demircan Core Operations remains responsible to the client for the careful selection and coordination of third parties engaged, unless a direct contractual relationship exists between the client and the third-party provider.
24. Contract Duration and Termination
The contract duration is determined by the relevant agreement. Engagements may be for a fixed term, project-based, or ongoing.
Unless otherwise agreed, either party may terminate ongoing engagements in writing with 30 days' notice.
Payment remains due for services already rendered, costs incurred, third-party costs, and work performed up to the time of termination.
The right to terminate without notice for good cause remains unaffected.
25. Changes to the Terms and Conditions
Demircan Core Operations may amend these Terms and Conditions at any time. The version in force at the time the contract is formed applies unless a later version is agreed.
For ongoing contractual relationships, material changes will be communicated appropriately. If the client does not object within a reasonable period or continues to use services, the amended Terms and Conditions are deemed accepted to the extent permitted by law.
26. Severability
If any provision of these Terms and Conditions is wholly or partly ineffective, invalid, or unenforceable, the validity of the remaining provisions will not be affected.
The ineffective or invalid provision will be replaced by a legally permissible provision that comes as close as possible to the economic purpose of the original provision.
27. Governing Law and Jurisdiction
Swiss law applies, excluding conflict-of-laws provisions and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods.
To the extent permitted by law, the place of jurisdiction is Altdorf UR, Switzerland.
Mandatory statutory places of jurisdiction, particularly for consumers, remain unaffected.
